2. Scopo del trattamento

Le basi giuridiche di Curvature per il trattamento dei Dati personali dell’utente per le finalità identificate nella Sezione 3, are as follows:

  • Fornitura di servizi: il trattamento è necessario ai fini della fornitura dei Servizi e, di conseguenza, per adempiere agli obblighi del contratto stipulato con l’utente. L’utente non è obbligato a fornire a Curvature i propri Dati personali per tali scopi ma, se non lo fa, Curvature non sarà in grado di fornirgli i Servizi.
  • Marketing: il trattamento è necessario al fine di soddisfare un interesse legittimo di Curvature, che consiste nel promuovere i propri prodotti e servizi alla sua clientela effettiva e potenziale. Anche se i clienti di Curvature sono costituiti esclusivamente da persone giuridiche (poiché Curvature non fornisce merci o servizi alle persone fisiche, queste attività implicano l’utilizzo dei Dati personali dei referenti all’interno di tali entità giuridiche, quali nomi e recapiti. Dal momento che tali comunicazioni di marketing diretto sono rivolte a persone giuridiche, i cui dati vengono raccolti nel contesto di una richiesta di preventivo o durante una vendita effettiva di prodotti e servizi Curvature, e poiché le persone che ricevono le comunicazioni hanno diritto a ritirare il proprio consenso in qualsiasi momento (anche se i relativi dati vengono raccolti e sono contenuti in tutte le comunicazioni inviate), Curvature ritiene che il suo interesse legittimo non possa essere scavalcato dai diritti, dalle libertà e dagli interessi dei singoli.   • Persone autorizzate da Curvature ad elaborare i Dati personali necessari per svolgere le attività strettamente correlate alla fornitura dei Servizi, che hanno accettato l’obbligo di riservatezza o sono soggette per legge all’obbligo di riservatezza (ad esempio i dipendenti Curvature).
  • Altre aziende all’interno del Gruppo Curvature.
  • Enti, organismi e autorità pubblici a cui possono essere comunicati i Dati personali degli utenti conformemente alle leggi applicabili o a ordini vincolanti di tali enti, organismi o autorità.

5. Trasferimento di Dati personali

Poiché Curvature opera ed è presente in tutto il mondo, i Dati personali degli utenti possono essere trasferiti a Destinatari che si trovano in molti paesi diversi. Curvature implementa misure di protezione appropriate per garantire la legalità e la sicurezza di tali trasferimenti di Dati personali, come l’applicazione delle decisioni di adeguatezza della Commissione Europea, la clausole sulla protezione dei dati standard della Commissione Europea o altre misure di protezione o condizioni considerate appropriate al trasferimento in questione.

6. Conservazione dei Dati personali

I dati personali trattati ai fini della Fornitura dei servizi verranno conservati da Curvature per il periodo ritenuto strettamente necessario per tali scopi. In ogni caso, poiché tali Dati personali vengono elaborati allo scopo di fornire i Servizi, Curvature potrebbe conservarli per periodi di tempo più lunghi, come necessario per proteggere gli interessi di Curvature relativamente alle responsabilità̀ potenzialmente correlate alla fornitura dei Servizi.

I dati personali trattati a scopo di Marketing verranno conservati da Curvature finché l’utente non ritira il proprio consenso o non annulla l’iscrizione al servizio. Dopo tale evento, i Dati personali non verranno più utilizzati per tali scopi, ma potrebbero essere comunque conservati da Curvature, soprattutto se potrebbero essere necessari per proteggere gli interessi di Curvature relativamente alle responsabilità potenzialmente correlate al trattamento

I dati personali trattati a scopo di Profiling verranno conservati da Curvature dal momento della fornitura del consenso al momento del suo ritiro. Dopo il ritiro del consenso, i Dati personali non verranno più utilizzati per tali scopi, ma potrebbero essere comunque conservati da Curvature, soprattutto se potrebbero essere necessari per proteggere gli interessi di Curvature relativamente alle responsabilità potenzialmente correlate al trattamento.

I dati personali trattati a scopo di Conformità verranno conservati da Curvature per il periodo richiesto dagli obblighi di legge specifici o dalle leggi applicabili.

I dati personali trattati a scopo di Analisi e al fine di prevenire Utilizzo inappropriato o Frodi verranno conservati da Curvature per il periodo ritenuto strettamente necessario a raggiungere gli scopi per cui sono stati raccolti, a meno che l’utente non abbia un motivo valido per contestare il trattamento dei dati personali per tali scopo (per ulteriori informazioni, vedere la Sezione 8).

7. Diritti degli Interessati

Gli Interessati hanno diritto a esercitare i seguenti diritti nei confronti di Curvature, in qualsiasi momento:

  • Accesso ai propri Dati personali trattati da Curvature (e/o a una copia di tali Dati personali), nonché alle informazioni relative al trattamento dei dati personali.
  • Correzione o aggiornamento del propri dati personali trattati da Curvature, qualora fossero imprecisi o incompleti.
  • Richiesta di cancellazione dei propri Dati personali trattati da Curvature, qualora ritengano che tale trattamento non sia necessario o legale.
  • Richiesta di limitazione del trattamento dei dati personali, qualora ritengano che i dati personali trattati vengano elaborati in modo impreciso, non necessario o illegale oppure in caso abbiano motivo di contestare tale trattamento.
  • Esercizio del diritto alla portabilità: diritto a ottenere una copia dei propri Dati personali forniti a Curvature, in un formato strutturato, di uso comune e leggibile dai dispositivi, oltre che a trasmettere tali Dati personali a un altro Titolare del trattamento.
  • Contestazione del trattamento dei dati personali sulla base di motivazioni rilevanti correlate alla propria condizione specifica, che si ritiene debba impedire a Curvature di elaborare i propri Dati personali.
  • Ritiro del proprio consenso al trattamento (a scopo di Profiling).

Si noti che la maggior parte delle informazioni personali fornite a Curvature può essere modificata in qualsiasi momento, incluse le preferenze relative all’e-mail, accedendo al profilo utente che è possibile creare nel sito Web.

È possibile contestare anche il trattamento dei dati personali a scopo di Marketing selezionando il collegamento appropriato incluso in fondo a tutti i messaggi e-mail di marketing ricevuti.

Equipment Returns

You may return Equipment within thirty (30) days of the date on which you received the Equipment subject to a restocking fee equal to 20% of the purchase price for such Equipment. You must return such Equipment in the same condition it was in when it was initially delivered to you.

We will replace non-working or defective Equipment in accordance with the terms of our Warranty as set forth below.

If you wish to return any Equipment, you must first contact us for prior authorization and additional instructions. You may contact us at returns@curvature.com.

The return policy set forth above only applies to pre-owned and refurbished original equipment manufacturer (“OEM”) branded  equipment, OEM branded equipment acquired outside of authorized resale channels (i.e. “new in box” or “out of channel” equipment) and new Curvature branded equipment (collectively, the “Equipment”). Returns of new OEM branded equipment are subject to the return polices of the OEM.

Software, maintenance contracts, support contracts, warranty contracts and other special order items may not be returned.

Garanzia sulle apparecchiature Curvature

La presente garanzia decorre dal 17 settembre 2018 e si applica a tutte le apparecchiature usate e ricondizionate con marchio OEM (Original Equipment Manufacturer), alle apparecchiature con marchio OEM acquistate al di fuori dei canali di rivendita autorizzati (ovvero apparecchiature “unused in box”, “new in box” o “out of channel”) e alle apparecchiature nuove con marchio Curvature (collettivamente, le “apparecchiature”).

Curvature garantisce che le Apparecchiature vendute al Cliente saranno esenti da difetti di materiali e fabbricazione per tutta la vita utile di tali Apparecchiature, purché queste ultime vengano utilizzate correttamente e sottoposte a una manutenzione adeguata.

In deroga a quanto sopra, ad alcune Apparecchiature viene applicata una garanzia limitata. I server X86 e tutti i prodotti server complessi di seconda mano (esclusi i dischi rigidi e le unità SSD) sono coperti da garanzia a vita, ma solo se viene mantenuta la configurazione originale dell’Apparecchiatura. Qualunque modifica alla configurazione originale invalida la garanzia. Il periodo di garanzia dei dischi rigidi, delle unità SSD e degli altri prodotti di storage di seconda mano (inclusi sistemi di storage, controller, shelf, unità a nastro e librerie di nastri) è di un anno dalla data di spedizione. Il periodo di garanzia delle unità SSD con marchio Curvature scade in corrispondenza di uno degli eventi che seguono, a seconda di quello che si verifica per primo: (a) tre anni dopo la data della spedizione o (b) quando l’uso del dispositivo supera il limite di resistenza standard dichiarato nelle specifiche di prodotto applicabili.

Durante il periodo di garanzia, a sua esclusiva discrezione Curvature ha facoltà di sostituire le Apparecchiature difettose con un’unità correttamente funzionante (“Apparecchiatura sostitutiva”) o di emettere al Cliente una nota di credito per il prezzo di acquisto pagato per l’Apparecchiatura difettosa. Curvature si riserva il diritto di sostituire le Apparecchiature difettose con unità dello stesso modello o di un modello aggiornato con funzionalità simili.

Il Cliente può presentare una richiesta di intervento in garanzia contattando il supporto Curvature per telefono, al numero 800-301-9850, o inviando un messaggio di posta elettronica all’indirizzo warranty@curvature.com. I clienti con contratto di manutenzione Curvature possono aprire un ticket direttamente tramite il sistema singlePoint.

Salvo diverso accordo, il Cliente deve rispedire le Apparecchiature difettose a Curvature entro dieci giorni dalla ricezione delle Apparecchiature sostitutive o del rimborso, a seconda del caso. Se Curvature ha emesso una nota di credito per le Apparecchiature difettose ma il Cliente non le restituisce, Curvature può annullare il credito. Se Curvature ha inviato Apparecchiature sostitutive ma il Cliente non restituisce le Apparecchiature difettose, il Cliente sarà responsabile di pagare tali Apparecchiature sostitutive, che Curvature provvederà a fatturare come necessario.

Curvature provvederà a coprire i costi di spedizione delle Apparecchiature difettose a Curvature, ma solo se la spedizione avviene dalla stessa sede in cui Curvature aveva inizialmente consegnato le Apparecchiature o da un’altra sede che comporta costi di spedizione paragonabili. Il Cliente deve ottenere da Curvature un numero di autorizzazione alla restituzione valido, prima di restituire le Apparecchiature difettose. Inoltre, il Cliente deve spedire le Apparecchiature difettose utilizzando l’account di Curvature presso il suo corriere preferenziale. Se il Cliente spedisce le Apparecchiature difettose utilizzando un account diverso o un corriere diverso, Curvature non sarà responsabile dei costi di spedizione.

Se il cliente restituisce un’Apparecchiatura dichiarandola difettosa ma viene determinato che non presenta alcun difetto, il Cliente sarà responsabile di coprire tutti i costi di spedizione associati alla restituzione inappropriata. Inoltre, se Curvature ha emesso al Cliente una nota di credito per tale Apparecchiatura restituita senza giusta causa, Curvature ha facoltà di annullare il credito e, se Curvature ha inviato un’Apparecchiatura sostitutiva per tale Apparecchiatura restituita senza giusta causa, il Cliente sarà responsabile di pagare tali Apparecchiature sostitutive, che Curvature provvederà a fatturare come necessario.

Curvature è tenuta a coprire i costi di spedizione delle Apparecchiature sostitutive al Cliente solo se la spedizione è indirizzata alla stessa sede in cui sono state consegnate inizialmente le Apparecchiature o a un’altra sede che comporta costi di spedizione paragonabili. L’Apparecchiatura sostitutiva deve essere spedita utilizzando il corriere preferenziale di Curvature, a spese di Curvature. Curvature è tenuta a coprire anche tutti i dazi, le imposte e gli altri oneri di importazione associati alla spedizione delle Apparecchiature, a meno che tali dazi, imposte e oneri non siano associati a una spedizione da o verso India, Cina, Russia, America Centrale, Sud America, Filippine, Corea del Sud, Tailandia o Arabia Saudita, che sono a carico del Cliente.

La presente garanzia non si applica ai guasti alle Apparecchiature dovuti a utilizzo inappropriato, abuso, incidente, negligenza, movimentazione inappropriata, mancanza di manutenzione adeguata, fattori ambientali, installazione o configurazione scorretta, alluvione, incendio o altro disastro naturale, danni fisici, problemi elettrici, quali fulmini, picchi di corrente o tensioni elettriche scorrette, oppure a modifiche inappropriate.

La presente garanzia non è trasferibile ed è valida solo per l’acquirente originale dell’Apparecchiatura (“Cliente”).

La presente garanzia non si applica alle apparecchiature nuove con marchio OEM di cui Curvature è rivenditore autorizzato, né alle altre apparecchiature con marchio OEM che Curvature acquista per la rivendita da un rivenditore autorizzato. Le garanzie per tali apparecchiature vengono rilasciate esclusivamente dal produttore dell’apparecchiatura. CURVATURE DECLINA ESPRESSAMENTE QUALSIASI GARANZIA ESPLICITA O IMPLICITA IN RELAZIONE A TALI APPARECCHIATURE, INCLUSE A TITOLO DI ESEMPIO NON ESAUSITVO, LE GARANZIE ESPLICITE DI COMMERCIABILITÀ O IDONEITÀ A UNO SCOPO SPECIFICO. Curvature si impegna a trasferire al cliente tutte le garanzie trasferibili per cui è autorizzata a farlo. In relazione a tali garanzie, Curvature è unicamente responsabile di fornire al Cliente l’assistenza ragionevolmente necessaria per ottenere la copertura da parte del produttore.

La presente garanzia non si applica ai prodotti acquistati all’ingrosso. La presente garanzia non copre mainframe, software, batterie, licenze o altre apparecchiature fornite nell’ambito dei servizi di manutenzione o altri servizi erogati da Curvature. Curvature declina qualsiasi garanzia esplicita o implicita in relazione a tali merci o servizi, salvo diverso accordo scritto con Curvature.

AD ECCEZIONE DI QUANTO SOPRA, O SALVO DIVERSO ACCORDO SCRITTO CON CURVATURE, CURVATURE DECLINA QUALSIASI GARANZIA ESPLICITA O IMPLICITA, DI LEGGE O DI ALTRO TIPO IN RELAZIONE ALLE APPARECCHIATURE, INCLUSE A TITOLO DI ESEMPIO NON ESAUSTIVO LE GARANZIE E LE CONDIZIONI IMPLICITE DI COMMERCIABILITÀ O IDONEITÀ A UNO SCOPO SPECIFICO, PRESTAZIONI, ADEGUATEZZA O NON VIOLAZIONE DEI DIRITTI ALTRUI.

LA SOLUZIONE DELLA SOSTITUZIONE O DEL RIMBORSO, DETERMINATA DA CURVATURE A SUA ESCLUSIVA DISCREZIONE, SARÀ L’UNICO RIMEDIO A DISPOSIZIONE DEL CLIENTE IN RELAZIONE A QUALSIASI RECLAMO PRESENTATO PER L’APPARECCHIATURA. IN NESSUN CASO CURVATURE POTRÀ ESSERE RITENUTA RESPONSABILE PER EVENTUALI DANNI SPECIALI, INCIDENTALI, CONTINGENTI, PUNITIVI O CONSEQUENZIALI DI QUALSIASI TIPO, NÉ PER DANNI O PERDITE A CARICO DI ALTRE PROPRIETÀ O MERCI, PERDITE DI FATTURATO O PROFITTO, IMPOSSIBILITÀ DI UTILIZZO O PERDITA DI DATI.

LA COPERTURA IN GARANZIA A VITA DI CUI SOPRA TERMINA ALLA VENDITA O AL TRASFERIMENTO DELLE APPARECCHIATURE A TERZI DA PARTE DEL CLIENTE.

Hardware and Software Updates

Curvature is a supplier of pre-owned hardware and a provider of third-party maintenance and support. As such, we are not responsible for software updates as those must be supplied by the original manufacturer. We can, however, offer hardware replacements with alternate or newer hardware; costs for this can be supplied upon request. If a customer is interested in an individual device or platform research around software updates, Curvature can also provide that service at an additional cost.

Selling Equipment to Curvature

We honor our commitments and we expect anyone who sells us equipment to do the same. If we buy equipment from you and such equipment is not in good physical and working condition with valid serial numbers, we expect you to refund all amounts we paid for such equipment. We will only buy equipment from legitimate suppliers who are able to convey to us clear and free title to the equipment.

Curvature LLC Purchase Order Terms and Conditions for North America and South America

  1. General Application. These terms and conditions and the Purchase Order to which they are attached (together, the “Agreement”) govern the purchase of the equipment, software and services specified in the Purchase Order by Curvature LLC (“Curvature”) from the person or entity identified as the seller in the Purchase Order (“Seller”). Any services specified on the Purchase Order are referred to herein as the “Services” and any equipment or software specified on the Purchase Order is referred to herein collectively as the “Goods”.  By accepting the Purchase Order, Seller agrees to be bound by these terms and conditions. Notwithstanding the foregoing, if Curvature and Seller have entered into a written agreement applicable to the Goods and Services then such agreement shall govern the Purchase Order and these terms and conditions shall be inapplicable.
  2. Purchase and Sale; Delivery Date; Expiration. Curvature hereby agrees to buy the Goods and Services from Seller and Seller hereby agrees to sell the Goods and Services to Curvature. Seller shall deliver the Goods to Curvature by the delivery date indicated on the Purchase Order. If Seller fails to deliver the Goods to Curvature by the delivery date set forth in the Purchase Order, or within thirty (30) days of the date of the Purchase Order if no delivery date is set forth therein, Curvature may cancel the Purchase Order in which case Curvature shall not be obligated to purchase the Goods.
  3. Prices and Payment; Taxes. The agreed upon price for the Goods and Services is set forth in the Purchase Order.  Payment shall be due as set forth in the Purchase Order, or, if not set forth in the Purchase Order, payment shall be due on the later of (a) thirty (30) days from Curvature’s receipt of Seller’s invoice and (b) the expiration of the Inspection Period.  Curvature shall be responsible for all taxes imposed by any governmental authority relating to the purchase of the Goods and Services, except for any such taxes based on Seller’s income, and all such taxes shall be set forth on the applicable invoice. Seller shall remit all such taxes to the proper taxing authority.
  4. Shipment; Title and Risk of Loss. Unless otherwise set forth in the Purchase Order, Curvature shall be responsible for shipping and handling which are additional costs and will be set forth as a separate charge on the Purchase Order.  Title and risk of loss shall pass to Curvature, and delivery shall be deemed completed, upon delivery of the Goods to Curvature at the location specified on the Purchase Order. Seller shall securely package the Goods to prevent damage in transit.
  5. Inspection and Acceptance of Goods. Upon delivery of the Goods, Curvature shall have a period of fourteen (14) days (the “Inspection Period”) within which to inspect the Goods to confirm that there are no material defects and that the Goods conform to the requirements of this Agreement, and any documentation provided by Seller or the OEM.  Curvature may reject any defective or otherwise nonconforming Goods. By way of clarification, any Goods that display an “Ilet authentication”, “SMC message” and/or “credential file” error or field notice shall be considered defective and will be rejected by Curvature. Curvature may reject Goods by delivering written notice of rejection to Seller during the Inspection Period.  Curvature shall not be required to pay for any such rejected Goods and Seller shall promptly refund any payments previously made by Curvature with respect to such Goods. Seller must arrange for the prompt return shipment of such rejected Goods at Seller’s expense. Failure by Curvature to inspect the Goods and/or deliver written notice of rejection to Seller within the Inspection Period shall constitute Curvature’s acceptance of the Goods, subject to the terms and conditions of this Agreement. For the avoidance of doubt, Goods shall not be deemed to have been received by Curvature until they have cleared customs and been delivered to Curvature at the delivery address set forth on the Purchase Order.
  6. Goods and Services Warranty. Seller represents and warrants as follows: (i) Seller owns all right, title and interest in and to the Goods, free and clear of any liens, claims, encumbrances or restrictions, and will convey the same to Curvature, (ii) the Goods are in good operating condition and of good, usable and merchantable quality, and conform to all documentation provided by Seller or the manufacturer indicated on the Purchase Order, and (iii) the Goods are genuine product of the manufacturer indicated on the Purchase Order, include only authorized and genuine trademarks and technologies, and are properly available for import into and sale within the country identified in the Ship To address on the Purchase Order. If the Goods are new, Seller shall either pass on the original manufacturer’s standard warranty on the Goods, or honor such warranty itself if it is unable to pass it on. If the Goods are used, Seller shall pass on the original manufacturer’s standard warranty on the Goods to the extent it is able to do so and, if it is unable to do so, Seller shall honor such warranty itself for no less than thirty (30) days from the date of delivery of the Goods; provided however, that if Seller’s standard warranty period on used Goods is longer than thirty (30) days, or if Seller has agreed in writing elsewhere with Curvature to a longer warranty period, then such longer warranty period shall apply. Seller represents and warrants that it will perform the Services in a professional manner in accordance with industry standards and all applicable laws, and that it has the required expertise to do so.
  7. Representations and Warranties. Each party represents and warrants to the other that (a) it has the full authority and power to enter into this Agreement, (b) the execution and performance of this Agreement will not violate any of its obligations to, or any rights of, any third party, or violate any applicable laws and (c) when executed, the Agreement will be binding on it. Seller further represents and warrants that (a) it owns all right, title and interest in and to the Goods, (b) the sale of the Goods and/or Services will not violate Seller’s contractual obligations, if any, to any manufacturer, partner, or other third party; and (c) it has made no misrepresentations to any manufacturer, partner, or other third party in connection with Seller’s acquisition of the Goods.
  8. Disclaimer. Except as otherwise stated in Sections 6 and 7, neither party makes any other representations or warranties of any kind, either express or implied.
  9. Indemnification. Seller shall indemnify, defend and hold Curvature and its affiliates, and its and their respective directors, officers and employees, harmless from any claims, damages, losses, liabilities, costs and expenses (including, without limitation, reasonable attorney’s fees and court costs) arising out of (a) Seller’s breach of any of its obligations, representations or warranties under this Agreement, and (b) any claims that the Goods or Services infringe upon the intellectual property rights of any third party.
  10. Customs-Trade Partnership Against Terrorism (C-TPAT). Seller recognizes that Curvature is a certified member of the Customs-Trade Partnership Against Terrorism (“C-TPAT”) program of the U.S. Bureau of Customs and Border Protection.  Curvature is required to ensure that its suppliers comply with certain C-TPAT security requirements. Accordingly, Seller will comply with any shipping and packaging instructions given by Curvature in connection with its C-TPAT compliance program. Seller understands that it may be required to complete and sign a Foreign Supplier Security Questionnaire and/or C-TPAT Business Partner Cover Letter and Acknowledgment Form prior to doing business with Curvature.
  11. Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the State of California, exclusive of conflicts of law provisions that would permit or require the application of the laws of another jurisdiction.
  12. Dispute Resolution and Arbitration. Any claim, dispute or controversy arising out of or relating to the Goods and Services or this Agreement shall be resolved exclusively by binding arbitration in Los Angeles, California, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
  13. Notices. Any notice, approval or other communication to the other party under this Agreement must be submitted by facsimile, email, overnight express mail or certified or registered mail (postage prepaid, return receipt requested) to the contact details provided by the other party in the Purchase Order and shall be effective upon receipt.
  14. Miscellaneous. If either party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party’s non-performance shall be excused until such time as the cause of such non-performance has ended. Notwithstanding the foregoing, if such an event continues for more than ten (10) days, the other party shall be permitted to terminate this Agreement in its discretion. This Agreement is made solely for the benefit of Curvature and Seller and their respective successors and assigns, and no other person or entity shall have or acquire any right by virtue of this Agreement.  The waiver of a provision, covenant, condition or right, or an extension of time, will be effective only if made in writing, and will not be construed as a subsequent waiver of the same or any other provision, covenant, condition or right, or an extension of any other time.  Except as may be set forth in a written agreement signed between Curvature and Seller, this Agreement constitutes the final, complete, and exclusive statement of the terms of the purchase and sale of the Goods and Services between the parties and supersedes all prior and contemporaneous understandings or agreements of the parties.  In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable part had been severed and deleted.  The prevailing party in any action, suit, arbitration or proceeding arising from or based upon this Agreement shall be entitled to recover its reasonable attorneys’ fees in connection therewith in addition to the costs of such action, suit, or proceeding. Curvature LLC Purchase Order Terms and Conditions for Europe

  1. General Application. These terms and conditions and the Purchase Order to which they are attached (together, the “Agreement”) govern the purchase of the equipment, software and services specified in the Purchase Order by Curvature LLC (“Curvature”) from the person or entity identified as the seller in the Purchase Order (“Seller”). Any services specified on the Purchase Order are referred to herein as the “Services” and any equipment or software specified on the Purchase Order is referred to herein collectively as the “Goods”.  By accepting the Purchase Order, Seller agrees to be bound by these terms and conditions. Notwithstanding the foregoing, if Curvature and Seller have entered into a written agreement applicable to the Goods and Services then such agreement shall govern the Purchase Order and these terms and conditions shall be inapplicable.
  2. Purchase and Sale; Delivery Date; Expiration. Curvature hereby agrees to buy the Goods and Services from Seller and Seller hereby agrees to sell the Goods and Services to Curvature. Seller shall deliver the Goods to Curvature by the delivery date indicated on the Purchase Order. If Seller fails to deliver the Goods to Curvature by the delivery date set forth in the Purchase Order, or within thirty (30) days of the date of the Purchase Order if no delivery date is set forth therein, Curvature may cancel the Purchase Order in which case Curvature shall not be obligated to purchase the Goods.
  3. Prices and Payment; Taxes. The agreed upon price for the Goods and Services is set forth in the Purchase Order.  Payment shall be due as set forth in the Purchase Order, or, if not set forth in the Purchase Order, payment shall be due on the later of (a) thirty (30) days from Curvature’s receipt of Seller’s invoice and (b) the expiration of the Inspection Period.  Curvature shall be responsible for all taxes, imposed by any governmental authority relating to the purchase of the Goods and Services, except for any such taxes based on Seller’s income, and all such taxes shall be set forth on the applicable invoice. Seller shall remit all such taxes to the proper taxing authority.
  4. Shipment; Title and Risk of Loss. Unless otherwise set forth in the Purchase Order, Curvature shall be responsible for shipping and handling which are additional costs and will be set forth as a separate charge on the Purchase Order.  Title and risk of loss shall pass to Curvature, and delivery shall be deemed completed, upon delivery of the Goods to Curvature at the location specified on the Purchase Order. Seller shall securely package the Goods to prevent damage in transit.
  5. Inspection and Acceptance of Goods. Upon delivery of the Goods, Curvature shall have a period of fourteen (14) days (the “Inspection Period”) within which to inspect the Goods to confirm that there are no material defects and that the Goods conform to the requirements of this Agreement, and any documentation provided by Seller or the OEM.  Curvature may reject any defective or otherwise nonconforming Goods. By way of clarification, any Goods that display an “Ilet authentication”, “SMC message” and/or “credential file” error or field notice shall be considered defective and will be rejected by Curvature. Curvature may reject Goods by delivering written notice of rejection to Seller during the Inspection Period.  Curvature shall not be required to pay for any such rejected Goods and Seller shall promptly refund any payments previously made by Curvature with respect to such Goods. Seller must arrange for the prompt return shipment of such rejected Goods at Seller’s expense. Failure by Curvature to inspect the Goods and/or deliver written notice of rejection to Seller within the Inspection Period shall constitute Curvature’s acceptance of the Goods, subject to the terms and conditions of this Agreement. For the avoidance of doubt, Goods shall not be deemed to have been received by Curvature until they have cleared customs and been delivered to Curvature at the delivery address set forth on the Purchase Order.
  6. Goods and Services Warranty. Seller represents and warrants as follows: (i) Seller owns all right, title and interest in and to the Goods, free and clear of any liens, claims, encumbrances or restrictions, and will convey the same to Curvature, (ii) the Goods are in good operating condition and of good, usable and merchantable quality, and conform to all documentation provided by Seller or the manufacturer indicated on the Purchase Order, and (iii) the Goods are genuine product of the manufacturer indicated on the Purchase Order, include only authorized and genuine trademarks and technologies, and are properly available for import into and sale within the country identified in the Ship To address on the Purchase Order. If the Goods are new, Seller shall either pass on the original manufacturer’s standard warranty on the Goods, or honor such warranty itself if it is unable to pass it on. If the Goods are used, Seller shall pass on the original manufacturer’s standard warranty on the Goods to the extent it is able to do so and, if it is unable to do so, Seller shall honor such warranty itself for no less than thirty (30) days from the date of delivery of the Goods; provided however, that if Seller’s standard warranty period on used Goods is longer than thirty (30) days, or if Seller has agreed in writing elsewhere with Curvature to a longer warranty period, then such longer warranty period shall apply. Seller represents and warrants that it will perform the Services in a professional manner in accordance with industry standards and all applicable laws, and that it has the required expertise to do so.
  7. Representations and Warranties.  Each party represents and warrants to the other that (a) it has the full authority and power to enter into this Agreement, (b) the execution and performance of this Agreement will not violate any of its obligations to, or any rights of, any third party, or violate any applicable laws and (c) when executed, the Agreement will be binding on it. Seller further represents and warrants that (a) it owns all right, title and interest in and to the Goods, (b) the sale of the Goods and/or Services will not violate Seller’s contractual obligations, if any, to any manufacturer, partner, or other third party; and (c) it has made no misrepresentations to any manufacturer, partner, or other third party in connection with Seller’s acquisition of the Goods.
  8. Disclaimer. Except as otherwise stated in Sections 6 and 7, neither party makes any other representations or warranties of any kind, either express or implied.
  9. Indemnification. Seller shall indemnify, defend and hold Curvature and its affiliates, and its and their respective directors, officers and employees, harmless from any claims, damages, losses, liabilities, costs and expenses (including, without limitation, reasonable attorney’s fees and court costs) arising out of (a) Seller’s breach of any of its obligations, representations or warranties under this Agreement, and (b) any claims that the Goods or Services infringe upon the intellectual property rights of any third party.
  10. Customs-Trade Partnership Against Terrorism (C-TPAT). Seller recognizes that Curvature is a certified member of the Customs-Trade Partnership Against Terrorism (“C-TPAT”) program of the U.S. Bureau of Customs and Border Protection.  Curvature is required to ensure that its suppliers comply with certain C-TPAT security requirements. Accordingly, Seller will comply with any shipping and packaging instructions given by Curvature in connection with its C-TPAT compliance program. Seller understands that it may be required to complete and sign a Foreign Supplier Security Questionnaire and/or C-TPAT Business Partner Cover Letter and Acknowledgment Form prior to doing business with Curvature.
  11. Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the Netherlands, exclusive of conflicts of law provisions that would permit or require the application of the laws of another jurisdiction.
  12. Dispute Resolution and Arbitration. Any claim, dispute or controversy arising out of or relating to the Goods and Services or this Agreement shall be resolved exclusively by binding arbitration in Amsterdam, The Netherlands.
  13. Notices. Any notice, approval or other communication to the other party under this Agreement must be submitted by facsimile, email, overnight express mail or certified or registered mail (postage prepaid, return receipt requested) to the contact details provided by the other party in the Purchase Order and shall be effective upon receipt.
  14. Miscellaneous. If either party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party’s non-performance shall be excused until such time as the cause of such non-performance has ended. Notwithstanding the foregoing, if such an event continues for more than ten (10) days, the other party shall be permitted to terminate this Agreement in its discretion. This Agreement is made solely for the benefit of Curvature and Seller and their respective successors and assigns, and no other person or entity shall have or acquire any right by virtue of this Agreement.  The waiver of a provision, covenant, condition or right, or an extension of time, will be effective only if made in writing, and will not be construed as a subsequent waiver of the same or any other provision, covenant, condition or right, or an extension of any other time.  Except as may be set forth in a written agreement signed between Curvature and Seller, this Agreement constitutes the final, complete, and exclusive statement of the terms of the purchase and sale of the Goods and Services between the parties and supersedes all prior and contemporaneous understandings or agreements of the parties.  In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable part had been severed and deleted.  The prevailing party in any action, suit, arbitration or proceeding arising from or based upon this Agreement shall be entitled to recover its reasonable attorneys’ fees in connection therewith in addition to the costs of such action, suit, or proceeding.   13. Notices. Any notice, approval or other communication to the other party under this Agreement must be submitted by facsimile, email, overnight express mail or certified or registered mail (postage prepaid, return receipt requested) to the contact details provided by the other party in the Purchase Order and shall be effective upon receipt.

Miscellaneous. If either party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party’s non-performance shall be excused until such time as the cause of such non-performance has ended. Notwithstanding the foregoing, if such an event continues for more than ten (10) days, the other party shall be permitted to terminate this Agreement in its discretion. This Agreement is made solely for the benefit of Curvature and Seller and their respective successors and assigns, and no other person or entity shall have or acquire any right by virtue of this Agreement.  The waiver of a provision, covenant, condition or right, or an extension of time, will be effective only if made in writing, and will not be construed as a subsequent waiver of the same or any other provision, covenant, condition or right, or an extension of any other time.  Except as may be set forth in a written agreement signed between Curvature and Seller, this Agreement constitutes the final, complete, and exclusive statement of the terms of the purchase and sale of the Goods and Services between the parties and supersedes all prior and contemporaneous understandings or agreements of the parties.  In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable part had been severed and deleted.  The prevailing party in any action, suit, arbitration or proceeding arising from or based upon this Agreement shall be entitled to recover its reasonable attorneys’ fees in connection therewith in addition to the costs of such action, suit, or proceeding. The headings in this Agreement are included for convenience only and shall neither affect the construction or interpretation of any provision in this Agreement nor affect any of the rights or obligations of the parties to this Agreement.

Curvature Equipment Quote Terms and Conditions

  1. General Application. These terms and conditions and the “Quote” into which they are incorporated by reference (together, the “Agreement”) shall govern the sale of the equipment and other products specified in the Quote (the “Equipment”) by the Curvature entity identified on the Quote (“Curvature”) to the buyer identified on the Quote (“Buyer”). By accepting the Quote and/or issuing a purchase order for the Equipment, Buyer agrees to be bound by these terms and conditions. Curvature’s offer to sell the Equipment is expressly conditioned on Buyer’s acceptance of these terms and conditions. Curvature’s acceptance of any offer by Buyer to purchase the Equipment is also expressly conditioned on Buyer’s acceptance of these terms and conditions. No other terms and conditions (including any pre-printed terms and conditions attached to Buyer’s purchase order) shall apply. Notwithstanding the foregoing, if Curvature and Buyer have entered into a separate written master agreement applicable to the Equipment then such agreement shall govern the sale of the Equipment and these terms and conditions shall be inapplicable.
  2. Purchase and Sale. Curvature hereby offers to sell the Equipment to Buyer and Buyer may accept such offer by accepting the Quote in writing and/or issuing a purchase order for the Equipment thereby creating an “Order”. By accepting such offer, Buyer hereby authorizes Curvature to act as Customer’s representative in (a) the acquisition of, registration of, and/or acceptance of any terms and conditions necessary to acquire, licenses related to third-party software on the Equipment, (b) the installation of such software on the Equipment, and (c) the acquisition of any third-party maintenance or service plans/contracts pertaining to the Equipment.  Curvature makes no representation or warranty as to whether any license or contract purchased pursuant to this authorization will be deemed valid by the software owner/licensor and/or maintenance/service provider.  Buyer may not cancel an Order unless Curvature agrees in writing to such cancellation.
  3. Prices and Payment; Taxes. The agreed upon price for the Equipment is set forth on the Quote and will be set forth in the corresponding invoice generated by Curvature (each an “Invoice”). Buyer shall be responsible for all shipping charges, and any applicable taxes (e.g. sales tax, VAT, GST), fees, duties, levies, or similar charges imposed by any governmental authority relating to the purchase of the Equipment (except for any taxes based on Curvature’s income). The shipping charges and applicable taxes will also be set forth on the Invoice. Payment shall be due 30 days from receipt of Invoice unless stated otherwise on the Invoice.  Amounts not paid when due shall bear interest at the rate of 1.5% per month (18% per annum) or the highest rate allowed under applicable law, whichever is lower.  All payment obligations are absolute and are not subject to counterclaim or setoff.
  4. Shipment; Title and Risk of Loss. Unless stated otherwise on the Quote, title to, and risk of loss of, the Equipment shall pass to Buyer when the carrier takes possession of the Equipment at Curvature’s shipping point.  All delivery dates are approximate. Curvature will deliver in one shipment when possible but reserves the right to make delivery in installments.
  5. Inspection and Acceptance of Goods. Failure to reject the Equipment due to material non-conformance to this Agreement within seven (7) days after delivery constitutes acceptance of the Equipment by Buyer.

  7. Disclaimer; Limitation of Liability.  THE ABOVE LIMITED WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES AND CURVATURE DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES.  THE REMEDY OF REPAIR, REPLACEMENT OR REFUND, AS SELECTED BY CURVATURE, WILL BE THE EXCLUSIVE AND SOLE REMEDY OF BUYER WITH RESPECT TO ANY DEFECTIVE EQUIPMENT.  CURVATURE SHALL NOT BE LIABLE TO BUYER, WHETHER IN CONTRACT, TORT OR OTHERWISE, (A) FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS OR LOSS OF REVENUE (EVEN IF SUCH DAMAGES ARE FORESEEABLE, AND WHETHER OR NOT IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), OR (B) IN AN AMOUNT GREATER THAN THE TOTAL AMOUNT PAID TO CURVATURE BY BUYER UNDER THIS QUOTE.
  8. Export Restrictions. All Equipment is exported in accordance with the United States Export Administration Act of 1979 as amended, the United States Export Administration Regulations (“EAR”), EU Regulation 428/2009, Singapore’s Strategic Goods Control Act and all other applicable laws and regulations and international treaties and agreements (collectively, the “Applicable Laws”), and any diversion or re-export by Buyer contrary to the Applicable Laws is strictly prohibited. Buyer hereby agrees that it will strictly comply with the Applicable Laws.  In furtherance of the foregoing, Buyer shall neither sell nor transfer any Equipment to: (a) any person, company or other entity if Buyer knows or has reason to know that the Equipment will be re-exported, sold or otherwise transferred in violation of the Applicable Laws; (b) any person, company or other entity appearing on any of the EAR  lists of prohibited persons or entities, including but not limited to the Table of Denial Orders, or the Specially Designated Nationals List administered by the U.S. Treasury Department Office of Foreign Assets Control; (c) any person, company or other entity located in Cuba, Iran, North Korea, Sudan, Syria or any other country where US-origin items, software or technology may not be exported under the EAR, from time to time; or (d) any person, company or other entity if Buyer knows that such Equipment is for use in connection with design, development, production, stockpiling or use of nuclear, chemical or biological weapons or missile delivery systems for these weapons, or at a facility at which such activities are taking place.  Buyer agrees to indemnify and hold harmless Curvature against any claim, demand, action, proceeding, judgment, penalty, fine, loss, liability, cost or expense (including reasonable attorneys’ fees) suffered or incurred by Curvature, and arising out of or relating to any violation, or alleged violation, by Buyer or any of its customers of the Applicable Laws.
  9. Governing Law; Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law provisions thereof.  Each party hereto consents to the exclusive jurisdiction of the state courts of North Carolina, Mecklenburg County, for any litigation that may arise out of this Agreement and each party hereto waives any objection based on forum non conveniens or any other objection to such venue.
  10. Notices. Any notice, approval or other communication to the other party under this Agreement must be submitted by facsimile, email, overnight express mail or certified or registered mail (postage prepaid, return receipt requested) to the contact details provided by the other party in the Quote and/or purchase order and shall be effective upon receipt.
  11.
